www.grainguard.pk represents GRAIN GUARD STORAGE (PRIVATE) LIMITED. These terms form a legally binding agreement between Users (hereinafter referred to as "User(s), you, your, yourself") and GRAIN GUARD STORAGE (PRIVATE) LIMITED (hereinafter referred to as "grainguard.pk" or "We"). These terms shall govern the use of the website (www.grainguard.pk), mobile application, call centers (collectively referred to as "grainguard.pk Platform") which enables the User to connect with us in relation to the services offered through the grainguard.pk Platform ("Services").

Please read these terms carefully before accessing, using, obtaining or availing any products or Services by grainguard.pk. If you do not agree with these Terms of Use you may refrain from using the grainguard.pk Platform and/or Services. These conditions must be read in conjunction with any other applicable terms and conditions governing the use of grainguard.pk Platform and Services. grainguard.pk reserves the right to modify these Terms of Use at any time at its sole discretion. It will be your responsibility to keep yourself updated with the Terms of Use from time to time; your continued usage of the grainguard.pk Platform and Services would be deemed to be an acceptance of these terms and the modifications thereto.

1. Scope & Nature of Services

grainguard.pk through the grainguard.pk Platform connects Users with Warehouses managed and/or leased by grainguard.pk or by third parties ("Channel Partners"). grainguard.pk Platform offers Services to its Users by offering its products ("grainguard.pk Products") which shall include but shall not be limited to:

• Warehouse Management
• Finance
• Quality Testing
• Fumigation
• Monitoring
• Logistics & Handling
• Insurance

Through the Platform, grainguard.pk provides an online platform through which We and other Warehouse Service Providers can promote, advertise, and/or offer (as applicable) their products and services for Booking, rent or hire, and through which Users can search, compare, and make a booking or payment for the Service. By making a booking or payment, you enter into a direct (legally binding) contractual relationship with grainguard.pk. In the case of a Warehouse leased/managed by grainguard.pk, We shall confirm the availability of the Service directly from our end. In the case of a Warehouse offered by the Channel Partners, we act as an intermediary between you and the Channel Partners, transmitting the relevant details of your Booking and sending you a confirmation for and on behalf of the Channel Partners.

2. Eligibility to Use

grainguard.pk's Services can only be availed by those business entities, including sole proprietorship firms, companies and partnerships, which are authorised under applicable law to form legally binding agreements. Business entities or organisations that are not authorised by law to operate are not authorised to avail or use grainguard.pk's Services.

User(s) agree to abide by the Agreement and any other rules and regulations imposed by the applicable law from time to time. grainguard.pk or the website shall have no liability to the User(s) or anyone else for any content, information or any other material transmitted over grainguard.pk's Services, including any fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such content rests entirely with the User(s). grainguard.pk at its sole discretion reserves the right to refuse grainguard.pk's Services to anyone at any time. This includes User(s) whose Accounts have been temporarily or indefinitely suspended by grainguard.pk.

3. Using the grainguard.pk Platform: Account Registration & Use

grainguard.pk makes the Services available to you through the grainguard.pk Platform upon you providing the required User information and creating an account ("Account") through the grainguard.pk ID and password. The grainguard.pk Platform requires you to register as a User by creating an Account in order to utilize the Services provided. You will be responsible for maintaining the confidentiality of the Account Information, and are fully responsible for all activities that occur under your Account. You agree to (a) immediately notify grainguard.pk of any unauthorized use of its Account Information or any other breach of security, and (b) ensure that you exit/log out from the account at the end of each session. grainguard.pk cannot and shall not be liable for any loss or damage arising from your failure to comply with this clause. You may be held liable for losses incurred by grainguard.pk or any other customer or visitor to the grainguard.pk Platform due to authorized or unauthorized use of your account as a result of your failure in keeping its Account Information secure and confidential.

grainguard.pk also allows restricted access to the grainguard.pk Platform for unregistered users. At the time of registration, you shall ensure that the Account Information provided by you in the grainguard.pk Platform registration form is complete, accurate and up-to-date. Use of another user's account information is expressly prohibited.

4. Terms Specifically Applicable to Customers

Users availing Services via the grainguard.pk Platform shall be governed by the following terms and conditions:

A. Booking of Services

The process of booking Services from the grainguard.pk Platform may require you to disclose your personal and confidential information. To prevent any possibility of unauthorized access to your confidential information such as name, address etc., you shall not use/access this site from unsecure computers, unsecure communication links, unsecure mobile phones or locations such as Internet Cafes and other commercially available internet-enabled computers or computer services.

The User agrees, acknowledges and confirms that before placing any order on the grainguard.pk Platform, the User shall check the Service description and price carefully and by placing an order for a Service you agree to be bound by these terms including the Services' description. You shall only place the order after fully satisfying yourself with the price, description, and look as has been displayed on grainguard.pk Platform. grainguard.pk shall not be responsible for unsatisfactory or delayed performance of services or damages or delays as a result of Channel Partner's acts or omissions. In particular, the User does hereby agree, promise, declare, confirm, covenant, undertake and represent and warrant to grainguard.pk that:

• The User is not under any legal or other deficiency which prevents/may prevent the User from: (i) entering into a valid contract under the applicable laws; and (ii) making valid payment to grainguard.pk for Services ordered by the User.
• In the event of detecting any suspicious activity from the User's account, grainguard.pk reserves the right to cancel all pending and future orders owing to any such incident without any liability to the User.
• In a credit card transaction, the User must use their own credit card for which the User has full right and authority to validly use such credit card for making payment to grainguard.pk. grainguard.pk shall not be liable for any credit card fraud. The liability to use a card fraudulently will be on the User and the onus to 'prove otherwise' shall be exclusively on the User.
• While using the grainguard.pk Platform, the User shall at all times strictly comply with the payment procedure and the terms mentioned herein in their entirety.
• Your use of the Services shall imply that you are fully satisfied with the description, look and design of the Property as has been displayed on grainguard.pk's Platform.
• All bookings are subject to prevailing and applicable Government directives and guidelines, as may be issued from time to time. Users are advised to exercise judgment and remain compliant with prevailing and applicable Government directives and guidelines.

B. Payment & Usage Fee

You hereby agree and understand that you will have to pay the Booking fee as mentioned on the grainguard.pk Platform for the concerned Services via the payment mode provided on the grainguard.pk Platform, post which the User's requested booking will be confirmed by debiting the usage fee from the payment mode selected by the User. The User agrees and acknowledges that the payment procedure may call for and require additional verification of or information from the User, and the User undertakes to provide complete, correct and proper information.

grainguard.pk uses third party payment providers to receive payments from Users. grainguard.pk is not responsible for delays or erroneous transaction execution or cancellation of reservation due to payment issues. grainguard.pk takes utmost care to work with third party payment providers, but does not control their systems, processes, technology and workflows and hence cannot be held responsible for any fault at the end of payment providers.

Refund of the Booking amount, if any, owing to non-availability of any of the Services chosen by the User shall be done within 7 working days through a similar payment channel.

C. Termination

In case you wish to discontinue, you can at any point opt out of your membership of the grainguard.pk Platform. grainguard.pk reserves the right to unilaterally terminate your use of the grainguard.pk Platform without notice or any liability for reasons of breach of the terms mentioned herein. User(s) hereby agree that in no event shall grainguard.pk be liable to any User(s) or any third parties for any inability to use the Platform (whether due to disruption, limited access, changes to or termination of any features on the Platform or otherwise), any delays, errors or omissions with respect to any communication or transmission, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the Platform or any of its features.

5. Terms Specifically Applicable for Listing

A. Booking & Listing

The Warehouse Owner acknowledges that in order to facilitate the completion of GRAIN GUARD's obligations under this Agreement, GRAIN GUARD has the right to list the Warehouse (including its name, address, facilities, photographs etc.) within its network on the grainguard.pk Platform. The Warehouse Owner shall provide its services to the Clients independently as per the operating standards prescribed by GRAIN GUARD. The Warehouse Owner shall be solely responsible for providing warehousing storage services to the Clients. Once a booking has been confirmed to a Client on grainguard.pk, the Warehouse Owner is under an obligation to honour such booking. In the event the Warehouse Owner is unable to honour the booking for any unforeseeable circumstances, the Warehouse Owner shall provide an alternate storage solution of comparable standards. Any claim from the Client arising out of such deficiency of service shall be borne by the Warehouse Owner.

GRAIN GUARD reserves the right to place the Warehouse Owner's location under the 'Suspended' category and thereby suspend access to all bookings for the property (received through the grainguard.pk Platform) until such time as the outstanding issues are resolved. GRAIN GUARD shall be absolved of all obligations under the agreement for the duration in which the Warehouse Owner's property is placed on Suspension.

B. Service & Platform Fees

The Warehouse Owner acknowledges that GRAIN GUARD provides its Platform services at a cost and GRAIN GUARD reserves the right to charge and recover costs and fees incurred by GRAIN GUARD, including towards marketing and promotion to drive enhanced traffic and incidental costs, expenses or commissions towards bookings of Warehouses listed on its platform.

C. Right to Inspect

GRAIN GUARD shall have a right to undertake periodic audits/surprise checks to ensure that the Warehouse Owner is adhering to the standards of GRAIN GUARD from time to time, and shall have a right to conduct such audit without prior notice and through representatives of GRAIN GUARD, mystery customers or such other agencies as deemed appropriate. The Warehouse Owner shall facilitate inspection of the Warehouse and shall not challenge the findings based on the fact that no prior notice was given for such audit. The Warehouse Owner shall allow GRAIN GUARD to carry out a rating exercise of the Warehouse, based on User experience, and publish the same on grainguard.pk.

D. Term & Termination

This agreement shall be valid and binding upon the Parties for a period of 24 months from the date of execution. The Agreement will be considered to be automatically renewed for another 24 months unless terminated by either Party in accordance with the Terms of this Agreement. In case parties do not desire this Agreement to be extended for a further period, a written intimation shall be sent to the Warehouse Owner fifteen (15) days prior to the completion of this Agreement.

It is agreed that for a period of three (3) months after the termination/expiry of this Agreement, the Warehouse Owner will not conduct/enter into any similar agreement with any third party for similar services or products. This agreement may be terminated by either Party by giving 30 days' notice in writing to the other. Either Party shall also have the right to terminate the agreement with immediate effect in case of breach of the terms and conditions of this agreement by the other Party.

6. Usage Terms

The information, materials, and Services available on the grainguard.pk Platform may inadvertently include inaccuracies, typographical errors, or outdated information. grainguard.pk is not responsible for and shall not be bound to honour typographical or pricing errors on the grainguard.pk Platform. grainguard.pk reserves the right to refuse or cancel orders at any time, including but not limited to orders that contain incorrect prices or product descriptions, orders in which grainguard.pk believes the User has violated applicable laws or these terms, or orders that grainguard.pk believes are fraudulent or based on illegal, fraudulent or deceitful use or furnishing of information. grainguard.pk neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data, information, product or Service. grainguard.pk expressly disclaims any warranties whether express or implied about the accuracy, completeness, correctness, suitability, reliability, availability, timeliness, quality, continuity, performance, error-free or uninterrupted operation/functioning, fitness for a particular purpose, workmanlike effort, non-infringement, lack of viruses or other harmful components of the Services and/or products.

grainguard.pk shall not be responsible for the delay or inability to use the grainguard.pk Platform or its functionalities, the provision of or failure to provide functionalities, or for any information, software, services, functionalities and related graphics obtained through the grainguard.pk Platform. The User understands and agrees that any material or data downloaded or otherwise obtained through the grainguard.pk Platform is done entirely at their own discretion and risk and they will be solely responsible for any damage to their computer systems or loss of data that results from the download of such material or data. grainguard.pk accepts no liability for any errors or omissions with respect to any information provided to the User.

7. Prohibited Content

As a pre-condition of use of the grainguard.pk Platform, the User warrants to grainguard.pk that the User shall not use the grainguard.pk Platform for any purpose that is unlawful, unauthorized, or inconsistent with these terms. grainguard.pk reserves the right, at its sole discretion, to block/terminate the User's access to the Platform and its content at any time, with or without notice. The User agrees, acknowledges, confirms and undertakes that the registration data and information/data provided or uploaded onto the grainguard.pk Platform by the User:

• Shall not be false, inaccurate, misleading or incomplete.
• Shall not be fraudulent or involve the use of counterfeit or stolen credit cards.
• Shall not infringe any third party's intellectual property, trade secret or other proprietary rights or rights of publicity or privacy.
• Shall not be defamatory, libelous, unlawfully threatening or unlawfully harassing.
• Shall not contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines or executable files that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information of any person.
• Shall not create liability for grainguard.pk or cause grainguard.pk to lose (in whole or in part) the services of its ISPs or other service providers/suppliers.

The Users are further prohibited from engaging in the following activities:

• Systematically retrieving data or other content from the grainguard.pk Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Making any unauthorized use of the grainguard.pk Platform, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
• Circumventing, disabling, or otherwise interfering with security-related features of the grainguard.pk Platform, including features that prevent or restrict the use or copying of any content or enforce limitations on the use of the Platform.
• Engaging in unauthorized framing of or linking to the grainguard.pk Platform.
• Tricking, defrauding, or misleading us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Making improper use of our support services or submitting false reports of abuse or misconduct.
• Engaging in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
• Interfering with, disrupting, or creating an undue burden on the grainguard.pk Platform or the networks or services connected to it.
• Attempting to impersonate another user or person or use the username of another user.
• Selling or otherwise transferring your profile.
• Using any information obtained from the grainguard.pk Platform in order to harass, abuse, or harm another person.
• Using the grainguard.pk Platform as part of any effort to compete with us or otherwise using the Platform and/or its content for any revenue-generating endeavor or commercial enterprise.
• Deciphering, decompiling, disassembling, or reverse engineering any of the software comprising or in any way making up a part of the grainguard.pk Platform.
• Attempting to bypass any measures of the grainguard.pk Platform designed to prevent or restrict access to the Platform, or any portion thereof.
• Copying or adapting the grainguard.pk Platform's software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
• Uploading or transmitting viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Platform.
• Uploading or transmitting any material that acts as a passive or active information collection or transmission mechanism.
• Using, launching, developing, or distributing any automated system, including any spider, robot, cheat utility, scraper, or offline reader that accesses the grainguard.pk Platform, or using or launching any unauthorized script or other software.
• Disparaging, tarnishing, or otherwise harming, in our opinion, us and/or the grainguard.pk Platform.
• Using the grainguard.pk Platform in a manner inconsistent with any applicable laws or regulations.

8. Communications

When you use the grainguard.pk Platform, you agree and understand that you are communicating with grainguard.pk through electronic records and you consent to receive communications via electronic records from grainguard.pk periodically and as and when required. grainguard.pk may communicate with you by email or by such other mode of communication, electronic or otherwise. You specifically agree that grainguard.pk shall not be responsible for unauthorized access to or alteration of your transmissions or data, any material or data sent or received or not sent or received. grainguard.pk will make best efforts to safeguard the confidentiality of your personally identifiable information available with it, but transmissions made by means of the internet cannot be guaranteed or made absolutely secure. By using this grainguard.pk Platform, you agree that grainguard.pk shall not be liable for disclosure of your information due to errors in transmission or unauthorized acts of third parties. Without prejudice to the foregoing, you agree that grainguard.pk shall not be held liable or responsible for phishing attacks on you. You may accept or decline the cookies when you access the grainguard.pk Platform. It is the User's responsibility to set his/her browser to alert him/her to accept or to reject cookies.

9. Third Party Links

This grainguard.pk Platform may, at its sole discretion, contain links to platforms owned and maintained by persons or entities other than grainguard.pk. grainguard.pk may also provide links to other sites for the purpose of enabling the Customer to make payment to grainguard.pk. Any of the foregoing links do not constitute an endorsement by grainguard.pk of any such sites and are provided only as a convenience. grainguard.pk is not responsible for the content or links displayed on such sites, nor for the privacy practices of such sites which grainguard.pk does not own, manage or control. grainguard.pk does not regularly review, and makes no warranty or representation regarding materials posted, or Services offered, on the sites to which this grainguard.pk Platform may be linked, and grainguard.pk shall not be responsible for any deficiency thereof. Any decision to view the contents of any linked site is solely the responsibility of the User and is made at the User's own risk.

10. Third Party Services

Services provided as a part of grainguard.pk's services shall be as per the terms and conditions of the third party. grainguard.pk merely acts as a facilitator in connecting the User with the Third Party Company. The User shall contact the Third Party directly for any disputes and grainguard.pk shall not be held liable in case of partial acceptance, denial of services, or dispute resolution.

11. Refund Policy

• Any refund request should be raised within 14 days of the payment transaction (Rent Payment / Loan Payment).
• Refund will be completed within 2 working days after the refund request.

12. Intellectual Property

The grainguard.pk Platform and the content posted herein — which shall include but shall not be limited to pictures, branding, text, graphics, designs, brand logos, audio, video, interfaces and/or any other information, or the overall arrangement of content — is protected and is owned, controlled or licensed by or to grainguard.pk and includes all comments, feedback, ideas, suggestions, information or any other content provided by the User. You may not modify, publish, copy, transmit, transfer, sell, reproduce, create derivative works from, license, distribute, frame, hyperlink, download, repost, perform, translate, mirror, display or commercially exploit these in any way.

The User agrees that any feedback, comments, ideas, suggestions, information, or any other content which the User contributes to grainguard.pk or the grainguard.pk Platform will be deemed to include a royalty-free, perpetual, irrevocable, non-exclusive right and license for grainguard.pk to adopt, publish, reproduce, disseminate, transmit, distribute, copy, use, create derivative works from, display worldwide, or act on such content without additional approval or consideration, in any form, media, or technology now known or later developed for the full term of any rights that may exist in such content, and you waive any claim to the contrary. The User represents and warrants that the User owns or otherwise controls all of the rights to the content that he/she may contribute to the grainguard.pk Platform and that use of his/her content by grainguard.pk shall not infringe upon or violate the rights of any third party.

13. Privacy

Please refer to the Privacy Policy which will also govern your use of the grainguard.pk Platform and/or Services, accessible at https://www.grainguard.pk/privacy-policy.

14. No Warranty

The Services are provided by grainguard.pk on an "as is" basis without warranty of any kind, express, implied, statutory or otherwise, including the implied warranties of title, non-infringement, merchantability or fitness for a particular purpose. Without limiting the foregoing, grainguard.pk makes no warranty that (i) the grainguard.pk Platform or the Services will meet your requirements or your use of the grainguard.pk Platform will be uninterrupted, timely, secure or error-free; (ii) the results that may be obtained from the use of the grainguard.pk Platform or Services will be effective, accurate or reliable; (iii) the quality of the grainguard.pk Platform or Services will meet your expectations; or that (iv) any errors or defects in the grainguard.pk Platform or Services will be corrected. No advice or information, whether oral or written, obtained by you from grainguard.pk or through use of the grainguard.pk Platform shall create any warranty not expressly stated in the terms of use. grainguard.pk shall have no liability to the User for any interruption or delay in access to the grainguard.pk Platform irrespective of the cause.

It is hereby further clarified that grainguard.pk and Channel Partners are separate and independent entities and grainguard.pk does not work as representative or agent of the Channel Partner. By making a reservation/booking at the listed Warehouses, the User enters into commercial/contractual terms as offered by and agreed to between the Channel Partner and the User alone. grainguard.pk shall not be responsible and shall not be required to mediate or resolve any dispute or disagreement between the User and the Channel Partner, except in cases of online payments where grainguard.pk shall be considered the first point of contact for payment dispute management, refunds, cancellations, and customer support.

15. Limitation of Liability / Disclaimer

The features and services on the Platform are provided on an "as is" and "as available" basis, and grainguard.pk hereby expressly disclaims any and all warranties, express or implied, including but not limited to any warranties of condition, quality, durability, performance, accuracy, reliability, merchantability or fitness for a particular purpose.

grainguard.pk shall not be liable for any damages of any kind whatsoever including but not limited to direct, indirect, incidental, punitive, exemplary and consequential damages, damages for loss of use, data or profits, or other intangible losses, which may arise from the use of the grainguard.pk Platform, inability of the Warehouse Owner to meet its contractual obligations, or any of the information, software, services and related graphics contained within the grainguard.pk Platform or any of the Services offered, regardless of whether such damages are based on contract, tort, negligence, strict liability or otherwise, and even if grainguard.pk has been advised of the possibility of damages.

Under no circumstances shall grainguard.pk be held liable for any delay or failure or disruption of the content or services delivered through the Platform resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labour disputes, riots, insurrections, civil disturbances, shortages of labour or materials, fires, flood, storms, explosions, pandemic, acts of God, natural calamities, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties.

User(s) hereby agree to indemnify and save grainguard.pk, its affiliates, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from their use of the Platform (including but not limited to the display of User(s)' information on the Platform) or from User(s)'s breach of any of the terms and conditions of this Agreement, or from User(s)'s breach of any representations and warranties made by the User(s) to grainguard.pk.

Notwithstanding anything to the contrary contained herein or elsewhere, grainguard.pk's entire liability to the User for any claim arising out of availing grainguard.pk Services or browsing the grainguard.pk Platform shall be limited to the amount equivalent to the price paid for the booking for such product and services giving rise to such claim.

16. General Provisions

Governing Law and Jurisdiction: This Agreement, and all transactions entered into on or through the grainguard.pk Platform, shall be interpreted, construed and governed by the laws of Pakistan. User agrees that all claims, differences and disputes arising under or in connection with or in relation hereto the grainguard.pk Platform, the terms or any transactions entered into on or through the grainguard.pk Platform, or the relationship between the User and grainguard.pk, shall be subject to the exclusive jurisdiction of the competent courts in Okara, Punjab, Pakistan, and the User hereby accedes to and accepts the jurisdiction of such courts.

Notices to grainguard.pk: All notices or demands to or upon grainguard.pk shall be effective if in writing and shall be deemed to be duly made when sent to:

All notices or demands to or upon a User(s) shall be effective if either delivered personally, sent by courier, certified mail, by facsimile or email to the last-known correspondence, fax or email address provided by the User(s) on the Platform, or by posting such notice or demand on an area of the Platform that is publicly accessible without charge.

No Waiver: Any failure, delay or forbearance on the part of grainguard.pk in: (i) exercising any right, power or privilege under this Agreement; or (ii) enforcing terms of this Agreement, shall not operate as a waiver thereof, nor shall any single or partial exercise by grainguard.pk of any right, power or privilege preclude any other future exercise or enforcement thereof.

Severability: The Parties hereto agree that each of the provisions contained in this Agreement shall be severable, and the unenforceability of one or more provisions of this Agreement shall not affect the enforceability of any other provision(s) or of the remainder of this Agreement.
